Banking law and capital market law are branches of law with very great practical importance and application in modern transactions and in modern economic life in general. In particular, emphasis is given to the presentation of basic rules and modern structures of banking law and capital market law with continuous analysis and interactive discussion on practical examples (casestudies) according to the traditions. The continuous reference and discussion of practical examples aims at a better understanding by students of the rules of banking law and capital market law, but also of the operation of the financial system in general, and at the same time provides them with the opportunity to connect the course material with their daily lives, on the one hand as individuals and on the other hand in the future as executives of credit institutions (banks) and other financial organizations since, as is known, participation in negotiations and the process of making good decisions is better served and promoted by the, even if only introductory, knowledge and weighing of basic legal risks (legalrisks). At the same time, the possibility of preparing a short paper (essay) in Greek or English is provided with continuous supervision by the instructor in order to achieve the best possible result. It is noted that the successful preparation of the paper increases the final grade (bonus).<\/p>\n<p><strong>COURSE CONTENT<\/strong><\/p>\n<p>The course content includes:<\/p>\n<ul>\n<li>The concept and basic characteristics of credit institutions.<\/li>\n<li>Banking activities under Law 4261\/2014 with parallel reference to the universal banking system, the expansion of banking activities observed today and the electronic processing of banking transactions (e-banking, web-banking).<\/li>\n<li>The concept and basic characteristics of financial institutions (e.g. leasing companies, business receivables agency companies, electronic money institutions, payment institutions).<\/li>\n<li>The conditions for granting and revoking a license to establish and operate a credit institution.<\/li>\n<li>The principle of mutual recognition of operating licenses for credit and financial institutions headquartered in a European Union country.<\/li>\n<li>The cross-border provision of services by a credit institution or financial institution through a branch or without an establishment (cross-border).<\/li>\n<li>The Basel Committee and its rules.<\/li>\n<li>The European Supervisory Authorities (Eurosystem, European Central Bank, European Banking Authority, European Securities and Markets Authority, European Insurance and Occupational Pensions Authority, European Systemic Risk Board).<\/li>\n<li>The Single Supervisory Mechanism, the Single Resolution Mechanism, the Single Deposit Protection Mechanism and the Single Rulebook.<\/li>\n<li>The Bank of Greece (introductory elements, bodies, responsibilities within the framework of the Eurosystem, autonomous statutory responsibilities, lender of last resort).<\/li>\n<li>Introductory information regarding the micro-prudential supervision of credit institutions, micro-prudential regulatory intervention in the operation of credit institutions, macro-prudential regulatory intervention in the operation of credit institutions, the resolution and liquidation of credit institutions, the guarantee of bank deposits and the provision of aid to Greek credit institutions.<\/li>\n<li>The bank account, the mutual account and the bank deposit (sight deposit, current account deposit, savings deposit, term deposit, joint account deposit).<\/li>\n<li>The loan and other credits (concept of credit, loan, bank loan, syndicated loan, bond loan, securitization, credit opening agreement, consumer credit) and credit collateral (personal and corporate guarantee, pledge with delivery, pledge without delivery, floating security, mortgage, mortgage pre-notation).<\/li>\n<li>Factoring, leasing, payment services (e.g. bank transfer agreement, rounding agreement), check, credit card, letter of guarantee, bank letter of credit.<\/li>\n<li>The concept, elements and operation of the Financial System, which as is known consists of financial markets, intermediary financial institutions and financial infrastructures, with parallel reference to basic introductory concepts such as direct financing, indirect financing, capital markets, money markets, organized market, unorganized market, primary market and secondary market.<\/li>\n<li>Financial instruments (transferable securities, money market instruments, units of collective investment undertakings, derivatives) and investment services (contract for the reception and transmission of orders, contract for the execution of orders on behalf of clients, trading on own account, portfolio management, contract for the provision of investment advice) under Law 3606\/2007 which ratified Directive 2014\/65\/EU (MiFID).<\/li>\n<li>The Investment Services Company (ISEF), the Investment Services Company (AEPE), the Investment Intermediation Company (AEED), the Collective Investment Undertakings (CIF) (Mutual Fund, Variable Capital Investment Company, Mutual Fund Management Company).<\/li>\n<li>The concept of investor and the specific issues concerning the provision of investment services (e.g. execution of orders and portfolio management by an investment firm or credit institution) under Law 3606\/2007.<\/li>\n<li>Organized Markets (concept, elements, establishment, access, admission of financial instruments, execution of transactions, administrator) and Multilateral Trading Facilities (MTFs) under Law 3606\/2007.<\/li>\n<li>Central counterparty, clearing or settlement systems and systematic internalization under Law 3606\/2007.<\/li>\n<li>Issues concerning the dematerialization and operation of the Dematerialized Securities System (DSS).<\/li>\n<li>The Securities Market and the Derivatives Market of HELEX (operation, access, securities traded, admission of securities to the Securities Market, information regarding issuers whose securities have been admitted to trading, securities trading, clearing and settlement), the Electronic Secondary Securities Market (EDSM) and the Multilateral Trading Mechanisms operating in Greece.<\/li>\n<li>The Prospectus (publication obligation and exceptions, content, civil liability, underwriting agreement).<\/li>\n<li>The Capital Market
